Welcome to Olbra Finance. These Terms of Service ("Terms") govern your access to and use of the Olbra Finance website, applications, and services (collectively, the "Services") operated by Olbra Finance ("we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you and Olbra Finance.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after any such changes constitutes your acceptance of the new Terms.

2. Description of Services

Olbra Finance provides a suite of financial services centered around fiat-backed stablecoins operating on blockchain networks. Our Services include:

• Stablecoin Issuance: Creation and redemption of PLNY (Polish Zloty), EURY (Euro), and USDY (US Dollar) stablecoins
• Digital Payments: Cross-border and domestic payment processing using stablecoins
• DeFi Services: Access to decentralized finance protocols including lending, borrowing, and yield generation
• Currency Exchange: Conversion between different stablecoin denominations and fiat currencies
• Wallet Services: Digital wallet functionality for storing and managing stablecoins

3. Eligibility Requirements

To use our Services, you must meet the following requirements:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be located in, or a resident of, any jurisdiction where our Services are prohibited
• Not be subject to economic sanctions or listed on any prohibited party list
• Successfully complete our identity verification (KYC) and anti-money laundering (AML) procedures

By using our Services, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service to anyone and to terminate accounts that do not meet these requirements.

4. Account Registration & Security

To access certain features of our Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials and not share them with others
• Immediately notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We implement industry-standard security measures to protect your account, but we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your login credentials and for any activities that occur under your account.

5. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws, regulations, or third-party rights
• Using our Services for money laundering, terrorist financing, or other illegal purposes
• Circumventing or attempting to circumvent our security measures or access controls
• Using automated systems or software to extract data from our Services without permission

• Impersonating any person or entity or misrepresenting your affiliation
• Engaging in market manipulation or fraudulent trading activities
• Using our Services to evade sanctions or export controls

6. Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof, are the exclusive property of Olbra Finance or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our Services for personal, non-commercial purposes. This license does not include the right to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content obtained from our Services.

7. User Content & Conduct

You may submit content to our Services, including transaction data, communications, and feedback ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with providing our Services.

You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not violate any laws or infringe upon the rights of any third party.

8. Fees and Payments

Our Services may be subject to fees, which will be disclosed to you before you complete any transaction. By using our Services, you agree to pay all applicable fees as described at the time of each transaction.

• Fees may include transaction fees, network fees, exchange fees, and service fees
• Fees are non-refundable unless otherwise stated
• We reserve the right to modify our fee structure with prior notice
• Network fees (gas fees) are determined by the underlying blockchain network and may vary

You are responsible for any taxes applicable to your use of our Services. We are not responsible for withholding, collecting, reporting, or remitting any taxes arising from your transactions.

9. Disclaimers & Limitation of Liability

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, secure, or error-free, or that defects will be corrected. We are not responsible for any losses resulting from:

• Fluctuations in the value of digital assets or fiat currencies
• Technical failures, system outages, or network congestion
• Unauthorized access to your account due to your failure to maintain security
• Blockchain network issues or smart contract vulnerabilities
• Actions of third parties, including hackers or malicious actors

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU DURING THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) 100 EUR.

10. Indemnification

You agree to indemnify, defend, and hold harmless Olbra Finance, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your User Content.

11. Dispute Resolution

Any dispute arising from or relating to these Terms or your use of our Services shall first be attempted to be resolved through good-faith negotiations between the parties.

If the dispute cannot be resolved through negotiations within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the Court of Arbitration at the Polish Chamber of Commerce. The arbitration shall take place in Warsaw, Poland, and shall be conducted in English or Polish, at the election of the claimant.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of law provisions. To the extent that any legal action or proceeding is permitted to be brought in court rather than through arbitration, such action shall be brought exclusively in the courts located in Warsaw, Poland, and you consent to the personal jurisdiction of such courts.

13. Changes to Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of our Services thereafter. Your continued use of our Services following the posting of revised Terms means that you accept and agree to the changes.
